Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Netwanted S.à r.l.-S ("Netwanted") concerning your access to and use of the Komplync platform. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Description of Service

Komplync is a Software-as-a-Service (SaaS) platform that provides:

• AI-powered marketing content generation
• Automated compliance checking for CSSF, GDPR, and MiFID II regulations
• Content library and management tools
• Compliance reporting and audit logs

The Service is designed for financial institutions, investment funds, insurance companies, and professional services firms operating under Luxembourg and EU regulations.

3. Eligibility

You must be at least 18 years old with the legal capacity to enter into contracts under Luxembourg law. The Service is for business and professional use only. You represent that you are authorized to bind your organization to these Terms and will use the Service in compliance with all applicable laws.

4. Account Registration

You must provide accurate registration information, maintain account security, and promptly update any changes. You are responsible for all activities under your account credentials. We recommend enabling two-factor authentication (2FA).

You may terminate your account at any time via contact@netwanted.com or the account deletion feature in Settings. Upon termination, your data will be deleted within 30 days.

5. Subscription Plans and Pricing

Billing Terms

• All fees in Euros (€), billed monthly in advance via Stripe
• Subscriptions auto-renew; cancel anytime with no cancellation fees
• Failed payments retried 3 times over 7 days before account suspension
• No refunds for partial months; access continues until end of paid period
• Price changes announced 30 days in advance

6. Acceptable Use Policy

You may use the Service to generate marketing content, check compliance, manage content, and integrate via API (if available).

You may NOT: use the Service for any illegal purpose, attempt to reverse engineer or hack the Service, share credentials with unauthorized users, scrape or data-mine the Service, generate defamatory or hateful content, interfere with Service security, or use the Service to compete with us.

Violations may result in warnings, suspension, or immediate termination without refund.

7. Intellectual Property Rights

The Service and all its components are owned by Netwanted or our licensors. You retain all rights to your prompts, generated content, and organization data. You grant us a limited license to process your content to provide the Service.

We will NOT use your content to train AI models (unless you explicitly opt-in), share it with third parties beyond Service provision, or claim ownership of your generated content.

Important: AI-generated content is provided "as-is". It must be reviewed by qualified professionals before publication. You are solely responsible for ensuring compliance of all published content.

8. Data Protection and Privacy

We process your personal data in accordance with our Privacy Policy, GDPR (Regulation EU 2016/679), and Luxembourg Data Protection Law. You are the data controller for any personal data you input into the Service and warrant that you have the legal right to process such data.

9. Service Availability and Support

We strive for 99.5% monthly uptime (Enterprise: 99.9% SLA). Scheduled maintenance is announced 48 hours in advance. Support hours are Monday–Friday, 09:00–18:00 CET.

10. Disclaimers and Limitations of Liability

The Service is provided "as-is" without warranties of any kind. Netwanted's total liability shall not exceed the fees paid in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

12. Termination

You may cancel anytime in Settings or by emailing us. Access continues until end of the billing period. We may terminate immediately for Terms violations, payment failure (after 3 retries), or legal requirements. Data is retained 30 days post-termination before permanent deletion.

13. Dispute Resolution

These Terms are governed by the laws of the Grand Duchy of Luxembourg. Disputes are subject to the exclusive jurisdiction of the courts of Luxembourg City. Before filing a lawsuit, attempt informal resolution by contacting contact@netwanted.com; we will respond within 30 days.
